Job Purpose
The Legal Manager will provide legal and secretarial services to Management and ensure smooth and efficient operations of the internal and external legal issues by coordinating with the CEO and cooperating with other departments and external stakeholders to ensure that legal services are done according to Company’s policies and procedures. Maintain close and smooth relationships with governmental agencies on legal matters with the knowledge and authorization of the supervisor.
 
 
Summary of Key Responsibilities;
  • Ensures that the Company is represented in litigation either through External Counsel or in house legal representation.
  • Directs the conduct and preparation of the Company's defence against and the prosecution of suits and claims.
  • Develop standard templates, corporate agreements, contracts and legal forms to enhance timely and expedient legal drafting and advisory services across the value chain
  • Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust
  • Assume the role of Company Secretary for active participation in the corporate governance under the instruction of the Board of Directors in accordance with the law, Memorandum and Articles of Association
  • Provides input into quarterly reports to the relevant Committee of the Board on litigation status of the Company.
  • Directs the development of procedures to ensure interdepartmental co-ordination, review and clearance of all legal instruments, compliance of all legal instruments, and advises on compliance of all corporate actions with the law, the company's establishing statute or Memorandum and Articles of Association, Supervising Authority’s directives and governmental policies and regulations.
  • Directs the conduct of and as appropriate, represents the Company on legal or quasi-judicial matters before courts, arbitration tribunal and government and agencies
  • Ensures that the Company is represented in conveyancing and corporate transactions either through External Counsel or in house legal representation.
  • Attends to in house conveyancing and corporate transactions.
  • Reviews the preparation and approval of documents intended to be legally binding upon the Company, per the existing company policies.
  • Provides key input to the Company Secretary on legal and corporate governance matters including providing unsolicited updates and advise on any changes in the legal and corporate governance framework.
  • Attends stakeholder meetings and engagements as assigned and in order to execute given tasks
  • Reviews the form and substance of all matters including documents and procedures related to actions by or before courts, regulatory and administrative agencies.
  • Coordinates and ensures the formulation, negotiation and execution of SLA with all internal customer divisions/sections.
  • Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights
  • Provides secretarial services to special purposes vehicles incorporated by the Company and any other companies on instruction.
  • Ensures the safe custody of the Company Seal, Minutes and Company Policy Documents for companies under the holder’s care.
  • Provide clarification on legal language or specifications to everyone in the organization
  • Maintain current knowledge of alterations in legislation
  • Circulate calling notice agendas and minutes or resolution s of the annual general meeting, extraordinary general meeting and the meeting of the Board of Directors, and to file the minutes with the Registrar as required by law
  • Any other duties as assigned by CEO

Primary Areas of Accountability:
Qualifications and Experience
  • Bachelor of Laws Degree
  • Master's Degree from reputable institutions will be an added advantage
  • Proven Experience in Corporate Law
  • Minimum of 7 years relevant work experience post admission to the Bar.
  • Minimum of 2 years in Senior Management or similar position.
  • High degree of professional ethics and integrity
  • Must have worked for a government regulatory body , Bank, or Telecoms Company in the same capacity.
  • Excellent knowledge and understanding of corporate law and procedures
  • Sound judgement and ability to analyses situations and information
  • Must be a member of the Law Association of Zambia
