Description:
Job Purpose
The Legal Officer will work closely with the Company Secretary to ensure effective and efficient, management and supervision of the Legal Department. Be responsible for the provision of legal advisory services and management of legal and contractual risks. Efficiently collaborate with and support Risk and Compliance, Loan Disbursement Compliance and Loan Recovery Departments as required.

Summary of Key Responsibilities;
  • Regularly review and ensure application of policies, procedures and internal controls relevant to the scope
    of authority and accountability of the position and submit appropriate
    improvement plans and strategies for consideration and approval as required
  • Negotiate, review and draft documentation for business transactions and prepare and advise on the necessary checklist to be adopted to ensure information is submitted on time;
  • Provide effective and efficient day-to-day management of the Legal Department;
  • Collaborate with and support the Human Resources Department in matters pertaining to employee relations and labour laws;
  • With the help of the Company Secretary, provide legal protection and risk management advice to management especially on Company contract management;
  • Liaise with other relevant departments to ensure that where legal risks have been identified, appropriate
    courses of action have been taken;
  • Oversee loan collateral registration, seizure and liquidation procedures and advise management
    accordingly;
  • Provide and interpret legal information, conduct training and disseminate appropriate legal requirements to
    staff;
  • Review and advise management on legal implications of internal policies and procedures;
  • Review all contracts or any other documentation where the Company has committed itself and assess legal
    implications that need to be brought to senior management’s attention;
  • Review and draft contracts, agreements, loan agreements, shareholder agreements, articles of association
    and internal policies and ensure (in collaboration with Risk & Compliance Department as deemed required) that they are in compliance with all statutory or legal requirements;
  • Review progress of outstanding litigation and liaise with and manage external lawyers;
  • Conducting monthly departmental staff meetings to keep them informed and motivated;
  • Performance of any other related duties and responsibilities as assigned

Primary Areas of Accountability:
Qualifications and Experience
  • Bachelor of Laws (LLB) Degree;
  • Must have must a minimum of 3 years post the bar
  • Must have a Valid Practicing Certificate
  • Must have at least a minimum of 2 years of experience in the financial services sector with particular focus on legal risk management in lending operations
  • Working experience with a Commercial Bank, Microfinance Institution or well established Law Firm will be
    a plus

  • Ability to relate effectively across different levels of authority
  • Ability to work in a multicultural environment
  • Proven experience in relationship building with Key Stakeholders
